IN CONSIDERATION of being permitted to compete, officiate, observe, work, or participate in any way in any Event (defined as any activity taking place on the premises of Rip & Dip Ranch, L.L.C. (hereinafter referred to as “Rip & Dip Ranch”) or being permitted to enter Rip & Dip Ranch for any purpose, the undersigned Participant, individually and for its personal representatives, heirs, and next of kin hereby:

1. The Participant acknowledges that they are voluntarily entering an active off-road event environment and agrees to immediately report any perceived unsafe conditions to staff. Participation is at their own risk.

2. Releases, waives, discharges and covenants not to sue Rip & Dip Ranch, L.L.C., an Arizona limited liability company, and its promoters, sponsors, sponsorship partners, activation partners, advertisers, participants, participants, including SP Motorsports and RB Motorsports, racing associations, sanctioning organizations or any subdivision thereof, property operators, property owners, officials, competition vehicle owners, drivers, pit crews, rescue personnel, any persons in any are of Rip & Dip Ranch, owners and lessees of premises used to conduct the Event and each of their directors, officers, agents, employees, members, managers, subsidiaries, owners and affiliates, all for the purposes herein referred to as “Releasees,” from all liability to the undersigned, its personal representatives, assigns, heirs, and next of kin for any and all loss or damage, and any claim or demands therefor on account of injury to the person or property or resulting in the death of the undersigned arising out of or related to the Event including those risks related to COVID-19 whether caused by the negligence of Releasees or otherwise.

3. Agrees to indemnify and save and hold harmless the Releasees and each of them from any loss, liability, damage, or cost (including attorney’s fees and expert witness costs) they may incur arising out of or related to the undersigned’s injury or death, whether caused by the negligence of the Releasees or otherwise.

4. ASSUMES FULL RESPONSIBILITY FOR ANY RISK OF BODILY INJURY, DEATH OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO THE EVENT WHETHER CAUSED BY THE NEGLIGENCE OF THE RELEASEES OR OTHERWISE.

5. Acknowledges the activities of the Event, which may include driving, riding, or other dangerous, high speed, on road and offroad high-risk recreational motor activities, all of which may include proximity to other participants or drivers and riders who may lack experience and skill at the activity, are very dangerous and involve the risk of serious injury and/or death and/or property damage. The undersigned also expressly acknowledges that the injuries received may be compounded or increased by negligent rescue operations or procedures of the Releasees.

6. Participant acknowledges that off-road activities may involve use of vehicles owned or operated by third parties, including but not limited to Can-Am and Rip & Dip Ranch, L.L.C. Participant agrees to release, hold harmless, and indemnify such third parties, including vehicle manufacturers and operators, from any liability related to injuries, property damage, or death arising from participation, regardless of cause, including negligence.

7. Agrees that this Release and Waiver of Liability, Assumption of Risk and Indemnity Agreement extends to all acts of negligence by the Releasees, including negligent rescue operations and is intended to be as broad and inclusive as is permitted by law and that if any portion thereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

8. Grants to Rip & Dip Ranch, L.L.C. and its affiliates or subsidiaries, and each of their employees, agents, assigns, event owners and sanctioning bodies (collectively “Rip & Dip Ranch”) the irrevocable right to use Participant’s photograph, image, audio recording, video recording or likeness taken at the Event (collectively “Images”) in all media formats, now known or hereafter developed, including but not limited to print, digital, video, and social media platforms. The Images shall be solely owned by Rip & Dip Ranch throughout the universe in perpetuity. Participant hereby releases and waives any and all claims against Rip & Dip Ranch for the use of Images.

9. Agrees that any visual footage or audio-visual footage, data and any image, including photographic images and any still pictures derived or capable of being derived therefrom of the Event that is recorded, stored and/or created thereon (“Content”) taken by Participant or a Producer may only be used for personal, private and non-commercial purposes. The use of any such Content for any form of public advertisement, display, commercial gain or for any other purpose (except for your private enjoyment) without the prior written consent of Rip & Dip Ranch is strictly forbidden and will constitute a breach of these terms and conditions for which you may be liable.

10. Understands the hazards of the novel coronavirus (“COVID-19”) and is familiar with the Centers for Disease Control and Prevention (“CDC”) guidelines regarding COVID-19, and he further acknowledges and understands that the circumstances regarding COVID-19 are changing from day to day and that, accordingly, the CDC guidelines are regularly modified and updated and hereby accepts full responsibility for familiarizing itself with the most recent updates. Notwithstanding the risks associated with COVID-19, which he readily acknowledges, he hereby willingly chooses to participate in the Event.

11. If the Participant is under 18 years of age, the undersigned parent or legal guardian acknowledges that they have read and understood this Agreement and agree to be bound by its terms on behalf of the minor. The parent or guardian further agrees to indemnify and hold harmless the Releasees from any claims brought by or on behalf of the minor.

12. This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona. If any provision is found unenforceable under Arizona law, the remainder shall remain in effect.

13. Participant consents to receive emergency medical care or treatment that may be deemed advisable in the event of injury, accident, or illness during the Event. Participant agrees to be financially responsible for any such treatment.

14. Participant acknowledges the inherent risks of rural and off-road environments, including but not limited to, interactions with wild or domestic animals (e.g., snakes, guard dogs), and water features such as ponds, rivers, or beaches. Participant voluntarily assumes all risks of injury or illness related to these elements and agrees to release the Releasees from any claims arising therefrom.

15. Participant acknowledges that entry onto the property is permitted solely by the express permission of the Owner for recreational purposes and does not constitute public access or invitation. The Owner retains the right to revoke permission at any time.

16. In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the Participant’s participation in any activities on the premises of Rip & Dip Ranch, L.L.C., the parties agree to first attempt to resolve the dispute through friendly consultation. If the matter is not resolved within thirty (30) days of written notice of the dispute, the parties agree to submit the dispute to non-binding mediation administered by ADR Services, Inc. or a comparable professional mediation provider. If mediation does not resolve the matter, the dispute shall be submitted to binding arbitration administered by ADR Services, Inc. in accordance with its rules. The arbitration shall take place in Arizona, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Each party shall bear its own attorney’s fees and costs unless otherwise awarded by the arbitrator.

I HAVE READ THIS RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT, UNDERSTAND ITS TERMS, UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY SIGNING IT, AND HAVE SIGNED IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT, ASSURANCE OR GUARANTEE BEING MADE TO ME AND INTEND MY SIGNATURE TO BE A COMPLETE AND UNCONDITIONAL RELEASE OF ALL LIABILITY TO THE GREATEST EXTENT ALLOWED BY LAW.
